Momsity

Business & Skilled Trades Provider Agreement

Effective October 14, 2026. For businesses and licensed or certified professionals on Momsity. This adds to the Momsity Terms of Use and the Mom Agreement.

Parties. This agreement is between Ryan Lenhart LLC, a Michigan limited liability company doing business as Momsity™ ("Momsity"), and the business or licensed professional that accepts it ("Provider"). Momsity is a DBA of Ryan Lenhart LLC and is not a separate entity.

Relationship to other documents. This agreement adds to the Momsity Terms of Use and the Mom Agreement. If they conflict on a matter this agreement covers, this agreement controls for Provider. A Jurisdiction Addendum for the state or locality where a Task is performed controls over this agreement to the extent it is more protective of a Member, a Provider, or the public, or reflects a legal requirement.

1. Who this agreement covers

1.1 "Provider" means a business entity, sole proprietor operating as a business, or individual holding a professional or occupational license or certification, who offers Tasks on Momsity under a business or professional profile.

1.2 "Personnel" means Provider's owners, employees, and anyone else Provider sends to perform a Task. "Subcontractor" means a third party Provider engages to perform part of a Task.

1.3 Licensed trades are not currently offered. Momsity's Prohibited Tasks Policy bans electrical, gas, plumbing, roofing, and other work requiring a licensed trade. Provider may offer only services listed in the Momsity catalog. If Momsity later adds a licensed-trade service, it will publish the credential requirements and any Jurisdiction Addendum before that service can be offered.

2. Provider representations

Provider represents, when it accepts this agreement and each time it offers on or accepts a Task, that:

(a) it is validly organized or registered where required and in good standing, and the person accepting has authority to bind it;

(b) it and its Personnel hold every license, registration, permit, certification, and insurance policy required by law for the Task in the place where the Task is performed, and the information it has given Momsity about them is accurate;

(c) its Personnel are at least 18, legally permitted to work in the United States, and qualified to perform the Task safely;

(d) it will perform Tasks in compliance with applicable law, including licensing, safety, wage-and-hour, tax, and anti-discrimination law; and

(e) it is not subject to any order or restriction that bars it from performing the Task.

3. Credentials and maintenance

3.1 Provider will upload the credentials Momsity requests for each service. Momsity's review confirms only that a document was received and appeared to match the stated requirement on the review date. It is not a guarantee of validity, coverage, or fitness, and Momsity will describe it to Members that way.

3.2 Provider will keep required credentials current and will notify Momsity through the app or at help@momsity.com within 5 business days if any required license, registration, certification, or insurance is suspended, revoked, cancelled, materially reduced, or expires.

3.3 A Provider whose required credential lapses may not offer on or accept Tasks for the affected service until an updated credential is approved. Tasks already accepted will be handled under Section 8.

3.4 Where the law or a Jurisdiction Addendum requires insurance, Provider will maintain at least the stated coverage and, if Momsity requests, provide a certificate of insurance. Where Provider carries commercial general liability insurance for a service, Provider will, if Momsity asks in writing and the insurer offers the endorsement at a reasonable cost, add Momsity as an additional insured for Tasks performed through the Platform. Provider's insurance is primary for Provider's own work.

4. Safe performance

4.1 Provider controls how its work is performed, consistent with the Task description, the Member's reasonable instructions, applicable law, and Momsity's Safety, Community Rules, and Prohibited Tasks policies.

4.2 Provider will decline or stop any Task it cannot perform safely or lawfully and will tell the Member and Momsity through the app as soon as practicable. Stopping a Task for a genuine safety reason is not a breach of this agreement.

4.3 Provider will not perform work outside the scope of the Task, including any work that requires a license Provider or its Personnel do not hold.

5. Incident reporting

5.1 Provider will report through the app or at help@momsity.com, within 24 hours after becoming aware of it, any incident during a Task involving injury, property damage over $250, theft or loss, a vehicle collision, an animal bite, a threat or harassment, or contact with law enforcement.

5.2 For emergencies, Provider will call 911 first. Momsity is not an emergency service.

5.3 Provider will reasonably cooperate with Momsity's review of an incident and preserve relevant messages, photos, and records. Nothing in this agreement limits Provider's right to report to, or cooperate with, any government agency or to seek legal advice.

6. Personnel and subcontractors

6.1 Provider is responsible for its Personnel and Subcontractors as it is for its own acts, including their qualifications, credentials, conduct, pay, taxes, benefits, and any workers' compensation or other coverage required by law.

6.2 Provider will use only Personnel and Subcontractors who meet the same eligibility and credential requirements as Provider for the service, and will identify, through the app, the person who will perform the Task when Momsity's workflow asks for it.

6.3 Provider will not use a Subcontractor for a Task where the Member has asked for a specific person, unless the Member agrees in the app.

6.4 Nothing in this agreement makes Provider's Personnel or Subcontractors employees or agents of Momsity.

7. Payments

7.1 Payments follow the Mom Agreement and the Terms of Use: the Member pays through Momsity; the payment is held until the Task is confirmed; Provider's payout is sent through Stripe Connect.

7.2 Momsity may hold a payout while a Member review, dispute, or chargeback on that Task is open, or while Momsity investigates a specific, reasonably suspected fraud, safety, or compliance issue on that Task.

7.3 Momsity may reverse or offset a payout only to the extent of an amount refunded to a Member for that Task, a chargeback Momsity did not win on that Task, or an overpayment or payment error, and will tell Provider the reason and amount. No payout is forfeited automatically. Provider may dispute a hold, reversal, or offset under Section 11.

8. Suspension and termination

8.1 Momsity may suspend Provider's access to a service, or to the Platform, if Momsity reasonably determines that Provider (a) committed a material safety violation, (b) lacks a credential required by law or this agreement for that service, (c) committed fraud or a material breach of this agreement, or (d) must be suspended to comply with law or a government order.

8.2 Except where immediate suspension is reasonably needed to protect people, property, or legal compliance, Momsity will give notice and a reasonable chance to respond or cure before suspension. In every case Momsity will state the reason, and Provider may ask for human review.

8.3 Suspension limited to one service does not affect other approved services unless the reason applies to them.

8.4 Either party may end this agreement on 14 days' written notice. Earned payouts for Tasks completed before termination remain payable under Section 7.

8.5 Automated tools may flag issues but do not by themselves suspend Provider or deny eligibility; a Momsity staff member makes those decisions.

9. Indemnity — mutual and fault-based

9.1 Provider will defend and indemnify Momsity against third-party claims to the extent caused by (a) the negligence, willful misconduct, or violation of law of Provider, its Personnel, or Subcontractors in performing a Task, or (b) Provider's material breach of this agreement.

9.2 Momsity will defend and indemnify Provider against third-party claims to the extent caused by (a) Momsity's negligence, willful misconduct, or violation of law in operating the Platform, or (b) Momsity's material breach of this agreement.

9.3 Each party's obligation is reduced in proportion to the other party's or a third party's share of fault. The indemnified party will give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, and no settlement may admit fault of the indemnified party without its consent.

9.4 This Section does not require either party to indemnify the other for that party's own negligence, and does not apply to any amount the law does not allow to be shifted.

10. Limitation of liability

10.1 To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of this agreement, even if advised that they were possible.

10.2 To the extent permitted by law, each party's total liability to the other for all claims arising out of this agreement will not exceed the greater of (a) the platform fees Momsity kept on Provider's Tasks in the 12 months before the event giving rise to the claim, or (b) $500.

10.3 Sections 10.1 and 10.2 do not apply to (a) bodily injury or death, (b) fraud, gross negligence, or willful misconduct, (c) a party's defense and indemnity obligations under Section 9 for third-party claims, (d) earned payouts owed to Provider under Section 7 or amounts Provider owes under Section 7.3, or (e) any liability that cannot be limited under applicable law.

10.4 This Section applies only between Provider and Momsity and does not limit any Member's rights.

11. Disputes

11.1 Before starting a formal proceeding, the party raising a dispute will send a written description to the other (for Momsity: help@momsity.com) and both will try in good faith to resolve it for 30 days.

11.2 Disputes between Provider and Momsity that are not resolved under Section 11.1 are resolved by binding individual arbitration under Section 19 of the Terms of Use, with the same class-action waiver, small-claims exception, and 30-day opt-out. If the Federal Arbitration Act does not apply to a claim (for example, because a transportation-worker exemption applies), the arbitration agreement is enforced under Michigan law to the extent permitted. Any claim that federal or state law excludes from pre-dispute arbitration may be brought in court.

11.3 This agreement is governed by the laws of the State of Michigan, without regard to conflict-of-law rules, and by the Federal Arbitration Act. For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Michigan, unless the law of the state where the Task was performed requires otherwise.

12. Rights not affected

Nothing in this agreement waives or limits any right that cannot be waived or limited under applicable law, including rights under wage-and-hour, anti-discrimination, workers' compensation, whistleblower, or consumer-protection laws, or any right to communicate with a government agency.

13. Independent business

Provider is an independent business. Provider sets its own schedule, decides which Tasks to offer on, supplies its own tools and equipment unless the Task says otherwise, may work for others including competing platforms, and is responsible for its own taxes. Provider may not take a Momsity-introduced Task off the Platform.

14. Data

Provider will use Member information only to perform the Task, keep it confidential, and delete access codes and entry details when the Task ends. Momsity handles and keeps Provider's credential documents as described in the Momsity Privacy Policy.

15. Changes

Momsity may update this agreement with at least 30 days' notice for material changes, except changes required by law or for safety, which may take effect sooner. Changes do not apply retroactively to Tasks already accepted.
